This website-hosted user interface (this "Interface") is made available by WANNA Labs, a corporation organized and existing under the laws of Grand Cayman (the "Company").
These Terms of Use, together with any documents and additional terms they expressly incorporate by reference (collectively, these "Terms"), constitute an agreement entered into between the Company and you ("you" or "your") concerning your use of and access to:
The Company's websites, including the Interface,
Web applications,
Mobile applications,
Browser extensions for streaming platforms,
All associated sites linked to the Interface or operated by the Company or its affiliates (collectively, the "Site").
These Terms govern your use of the Site, access to prediction markets, streaming integrations, decentralized applications, APIs, and all software provided by the Company to facilitate live predictions and engagement with streaming content using cryptocurrencies or other blockchain-based assets (collectively, "Digital Assets"), including entering into prediction contracts ("Predictions") related to live events, streaming outcomes, or social polls (collectively, the "Services").
1. Acceptance of Terms
By:
Creating an account,
Connecting your wallet,
Clicking "I agree" (or similar language),
Acknowledging these Terms by other means, or
Accessing or using the Site or Services,
you accept and agree to be bound by these Terms, including, but not limited to, the mandatory arbitration provision in Section 11. If you do not agree to these Terms, you must not access or use the Site or Services.
2. Modifications to These Terms
The Company retains the right, at its sole discretion, to amend these Terms periodically. Notification of amendments will occur through means such as:
Updating the "Last Updated" date at the top of these Terms,
Providing notice through the Services,
Email notification to registered users.
Unless otherwise specified, modifications will take effect immediately upon publication. Continued access or use of the Site or Services after such notice constitutes your acceptance of the amended Terms.
3. Use of Services
Representations and Warranties
As a condition of using the Services, you represent and warrant the following:
Legal Capacity:
You are at least 18 years of age (or legal age in your jurisdiction),
You have the legal capacity to enter into these Terms,
If entering as an entity, you have the legal authority to accept these Terms on behalf of the entity.
Prohibited Territories: You are not a resident, national, or agent of any Restricted Territory.
Sanctions Compliance:
You are not on any sanctions list maintained by the United States, United Kingdom, European Union, or United Nations,
You will not transact with any Restricted Person or Sanctions List Person.
No Circumvention: You will not use VPN software or other tools to circumvent restrictions.
Streaming Platform Compliance: You will comply with the terms of service of all integrated streaming platforms (Twitch, YouTube, etc.).
4. Prediction Markets and Content Guidelines
Acceptable Use
When using the Services, you agree to:
Only make predictions on legitimate streaming events and outcomes,
Respect content creators and their communities,
Report any suspected manipulation or fraudulent activity,
Maintain accurate account information.
Prohibited Activities
You may not:
Manipulate or attempt to manipulate prediction outcomes,
Collude with streamers or other users to affect results,
Create multiple accounts to circumvent limits or bans,
Use automated tools or bots without authorization,
Harass, abuse, or threaten other users or creators,
Make predictions on illegal or prohibited content,
Stream snipe or interfere with content creators.
5. No Professional Advice or Fiduciary Duties
All information provided in connection with your access and use of the Site and the Services is for informational and entertainment purposes only and should not be construed as professional advice.
Prediction markets are speculative in nature. You should not take, or refrain from taking, any action based on any information contained on the Site without conducting your own research and evaluation.
Before making financial decisions involving the Services, you should seek independent professional advice from qualified individuals.
The Company does not owe you any fiduciary duties beyond those expressly stated in these Terms.
6. Creator and Platform Relationships
Third-Party Content
The Services integrate with third-party streaming platforms. The Company:
Does not control or endorse streamer content,
Is not responsible for stream availability or quality,
Cannot guarantee prediction market resolution if streams disconnect.
Creator Participation
Streamers participating in WANNA prediction markets must:
Not manipulate outcomes for personal gain,
Maintain transparency about their involvement,
Comply with platform-specific creator agreements.
7. Fees and Rewards
Platform Fees
The Company charges a fee on all prediction pools,
Creators receive a % of prediction pools from their content,
Winners receive the remaining % of pools.
Transaction Costs
You are responsible for all blockchain transaction fees (gas fees) associated with:
Wallet connections,
Placing predictions,
Claiming rewards,
Token transfers.
WANNA Points
WANNA Points have no monetary value and cannot be:
Sold or transferred to other users,
Redeemed for cash directly,
Considered as property.
Points may be converted to tokens only during official redemption events at the Company's discretion.
8. Risk Disclosures
Inherent Risks
By using the Services, you understand and accept the following risks:
Prediction Risks:
Outcomes may be unpredictable,
You may lose your entire stake,
Technical issues may affect resolution.
Blockchain Risks:
Smart contract vulnerabilities,
Network congestion affecting transactions,
Irreversibility of blockchain transactions.
Private Key Security:
Loss of private keys results in permanent loss of Digital Assets,
The Company cannot recover lost wallets or keys.
Regulatory Risks:
Prediction markets may face regulatory changes,
Services may become unavailable in your jurisdiction.
Platform Risks:
Streaming platforms may change policies,
Creator accounts may be suspended,
Integration features may be discontinued.
9. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its affiliates, creators, and their respective officers, employees, and agents from any claims, damages, losses, or liabilities arising from:
Your use of the Services,
Your predictions and transactions,
Violations of these Terms,
Infringement of third-party rights,
Your interactions with other users or creators.
10. Disclaimer of Warranties
The Site and Services are provided "AS IS" and "AS AVAILABLE", without any warranties of any kind, whether express or implied, including, but not limited to:
Merchantability,
Fitness for a particular purpose,
Non-infringement,
Accuracy of prediction outcomes,
Availability of streaming content.
11. Limitation of Liability
To the fullest extent permitted by law:
The Company's maximum liability is limited to $100 USD or the total fees paid by you in the preceding 30 days, whichever is lesser.
The Company is not liable for:
Lost profits or opportunities,
Indirect, incidental, or consequential damages,
Failed predictions or lost stakes,
Third-party content or actions.
12. Dispute Resolution
Mandatory Arbitration
All disputes will be resolved through binding arbitration under:
JAMS Comprehensive Arbitration Rules, or
Principles of Delaware Rapid Arbitration Act (DRAA).
Both parties waive the right to:
Jury trial,
Class action lawsuits,
Representative actions.
Governing Law
These Terms are governed by the laws of Grand Cayman, without regard to conflict of law principles.
13. Account Termination
The Company may suspend or terminate your account if you:
Violate these Terms,
Engage in fraudulent activity,
Are subject to regulatory action,
Remain inactive for 12 consecutive months.
Upon termination, you must withdraw Digital Assets within 30 days or they may be forfeited.
14. General Provisions
Privacy Policy: Our Privacy Policy is incorporated by reference and governs data collection and use.
Intellectual Property: All Site content, including the WANNA brand, remains Company property.
Force Majeure: The Company is not liable for failures due to circumstances beyond reasonable control.
Severability: If any provision is deemed invalid, remaining provisions continue in full effect.
Assignment: You may not transfer rights under these Terms without written Company consent.
Entire Agreement: These Terms constitute the complete agreement between parties.
